FAMILIARISATION PROGRAMME FOR INDEPENDENT DIRECTORS

Whenever an Independent Director is appointed by the Company, the Executive Chairman and the Managing Director interact with him and brief on the Company as a whole. They also brief him on the sugar, distillery, power and soya industries.

The Independent Director is also apprised of the following:

Composition of the Board of Directors and about their background in brief.
Roles, rights and responsibilities of Independent Directors and the industry specific laws and regulations applicable in brief.
The organizational set up with respect to management of the Company and its policies.
Brief overview of theGroup and the group culture
Products manufactured by the Company and the facilities available, including the location of the plants and their respective facilities and capacities.
Market for the product and the industry scenario.
Details of financial position and assets and liabilities.
Share capital, listing with stock exchanges and status of compliances.

In case the Independent Director is desirous of making factory visits, he will be taken to factories. Otherwise at least one Board Meeting of the Company will be held at the factory site to enable the Directors to have hands on information/knowledge on the operations of the Company.

2023-24

On 14th August 2023, Sri S.Baskar, President & Company Secretary, made a detailed presentation with respect to amendments to Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements), 2015. He also explained on the framework given by Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, in respect of Trading Window Closure. The duration of the familiarisation of Directors was about forty-five minutes.

2022-23

On 14th February 2023, Sri S.Baskar, Sr. Vice President & Company Secretary, made a detailed presentation with respect to compliance of Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015. The duration of the familiarisation of Directors was about thirty minutes.

2021-22

On 13th August 2021, Sri S.Baskar, Sr. Vice President & Company Secretary, made a detailed presentation with respect to Amendments to SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The duration of the familiarisation of Directors was about forty five minutes.

2020-21

On 11th November 2020, Sri S.Baskar, Senior Vice President & Company Secretary made a detailed presentation on the salient features of the Companies (Amendment) Act 2020. The duration of the familiarisation of Directors was about 1/2 an hour.

2019-20

On 28th May 2019, Sri S.Baskar, Senior Vice President & Company Secretary made a detailed presentation on the salient features of the amendments to SEBI (LODR) Regulations, 2015 and SEBI (Prohibition of Insider Trading) Regulations, 2015. The durationof the familiarisationof Directorswas about50 minutes.

2018-19

On 30th May 2018, Sri S.Baskar, Chief Financial Officer & Company Secretary made a detailed presentation on the salient features of the Companies (Amendment) Act, 2017 and SEBI (LODR) (Amendment)Regulations,2018. The durationof the familiarisationof Directorswas about½ an hour.

2017-18

On 14th November 2017 Sri S.Baskar, CFO & Company Secretary, made a detailed presentation on the Revised Secretarial Standards, which has come into effect from 1st October 2017. He explained about the important changes made in Secretarial Standard-1 (SS-1) relating to Board/Committee meetings. The durationof the familiarisationof Directorswas about½ an hour.

2016-17

The Independent Directors visited the factory at Sakthinagar, Bhavani Taluk, Erode District on 27th September 2016 and they were detailed about the sugar processing and the operations of Distillery and Cogeneration Units. They also visited nearby sugar cane fields where a demonstration was conducted about mechanicalharvesting ofsugarcane. In totaltheDirectorsspent about4 hours.

2015-16

The Independent Directors visited the factory at Sakthinagar, Bhavani Taluk, Erode District on 30th September 2015 to have first-hand knowledge on the operations of sugar, distillery and cogeneration Units. They spent about 3 hours in the factory.
